Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the VibeModel AI Reliability Platform and related services provided by VibeModel Inc. ("VibeModel," "we," "us," or "our"). By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, you may not use our services. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

VibeModel is an AI Reliability Platform that helps organizations build production-grade AI systems. Our platform provides a 7-layer reliability stack including automated exploratory data analysis, dimension discovery, pattern detection, model selection, validation, and deployment orchestration. The platform deploys on-premise within your infrastructure, ensuring your data never leaves your environment.

3. Design Partner Program

VibeModel offers a Design Partner Program that provides early access to our platform under the following terms:

  • Early Access: Design Partners receive priority access to new features and capabilities before general availability.
  • Founding Pricing: Design Partners are eligible for founding-tier pricing, which is locked in for the duration of their participation.
  • Limited Spots:The Design Partner Program has a limited number of available spots and is offered at VibeModel's discretion.
  • Feedback: Design Partners agree to provide reasonable feedback to help us improve the platform.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating an account and to update it as necessary. You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform.
  • Interfere with or disrupt the integrity or performance of the platform or its infrastructure.
  • Attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems.
  • Use the platform to develop a competing product or service.
  • Sublicense, resell, or redistribute access to the platform without prior written consent.

6. Intellectual Property

VibeModel retains all rights, title, and interest in the platform, including all software, algorithms, documentation, trademarks, and other intellectual property. Nothing in these Terms transfers any ownership of our intellectual property to you.

Your data remains yours. You retain all rights, title, and interest in your data, models, datasets, and any outputs generated using your data through the platform. VibeModel claims no ownership over your proprietary content.

7. Zero Data Exposure Guarantee

VibeModel contractually commits that your AI data, models, training datasets, and inference outputs processed through our platform never leave your infrastructure. Our platform is deployed on-premise within your environment. We do not transmit, store, copy, or access your proprietary data on VibeModel-controlled servers. This commitment is a material term of these Terms and is enforceable as a contractual obligation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, VibeModel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising out of or related to your use of the platform, regardless of the theory of liability. Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts you paid to VibeModel in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. During early access and beta periods, the platform may contain bugs or incomplete features. VibeModel does not warrant that the platform will be uninterrupted, error-free, or that defects will be corrected within any specific timeframe.

10. Termination

Either party may terminate these Terms at any time with thirty (30) days written notice. VibeModel may suspend or terminate your access immediately if you breach these Terms or engage in conduct that we reasonably believe is harmful to other users, the platform, or VibeModel. Upon termination, your right to use the platform ceases, but provisions that by their nature should survive (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the effective date at the top of this page and, where appropriate, by sending you an email notification. Your continued use of the platform after the updated Terms take effect constitutes your acceptance of the revised Terms.
